Estamos buscando un/a Abogado/a Ssr/Sr para potenciar el área de Derecho Corporativo, en un contexto de crecimiento y desarrollo del asesoramiento empresarial. La posición ofrece la oportunidad de participar en negociaciones, estructurar negocios complejos y asesorar a empresas, combinando solidez técnica con una mirada estratégica.

Principales responsabilidades

Contratos comerciales

  • Redacción, revisión y negociación de contratos comerciales.
  • Participación en due diligences.
  • Negociación directa con la contraparte y sus abogados, preparación de issue lists, mark-ups y versiones comparadas.
  • Asesoramiento al cliente sobre asignación de riesgos: responsabilidad y límites, indemnidades, garantías, cláusulas de salida, ley aplicable y jurisdicción o arbitraje.
  • Redacción de contratos en inglés o bilingües para operaciones con contrapartes del exterior.

Societario y gobierno corporativo

  • Redacción de actas de directorio y de asamblea o reunión de socios, y asesoramiento a directorios y socios.
  • Trámites societarios y registrales ante la IGJ y registros provinciales.

Relación con clientes y desarrollo del negocio

  • Construir y desarrollar relaciones de confianza con los clientes, brindando un asesoramiento cercano y orientado a sus necesidades.
  • Gestionar asuntos con autonomía, interactuando directamente con clientes y socios del estudio.
  • Participar proactivamente en el desarrollo de la práctica corporativa, con posibilidades de generar y desarrollar cartera propia de clientes.

Requisitos

  • Abogado/a con experiencia profesional de aproximadamente 7 a 8 años o más, según la solidez y pertinencia de su recorrido.
  • Experiencia comprobable en redacción, revisión y negociación de contratos comerciales complejos (EXCLUYENTE)
  • Dominio del Código Civil y Comercial de la Nación (CCyCN) en materia contractual y de la Ley General de Sociedades N.º 19.550.
  • Experiencia en práctica societaria y gobierno corporativo.
  • Muy buena redacción técnica y capacidad de análisis jurídico.
  • Autonomía para gestionar asuntos, conducir negociaciones y tratar directamente con clientes.
  • Capacidad para comprender las necesidades del negocio y traducirlas en soluciones jurídicas concretas.

Buscamos una persona proactiva, creativa y emprendedora, con pensamiento analítico y capacidad para encontrar alternativas frente a situaciones complejas.

Será especialmente valorada la capacidad para generar vínculos interpersonales sólidos, comunicarse con claridad, desenvolverse con autonomía y asumir un rol activo en las reuniones y relaciones con clientes.

Beneficios

Modalidad de trabajo

  • Ubicación: Belgrano, Ciudad Autónoma de Buenos Aires.
  • Modalidad: híbrida, con cuatro días de trabajo presencial y viernes de home office.
  • Horario de referencia: lunes a jueves de 10 a 19 h, con flexibilidad.

Se priorizarán candidatos que residan en CABA, especialmente en zonas cercanas al estudio.
