1.合同全生命周期管理：负责各类业务合同、合作协议起草、审核、修订、谈判；建立合同风险清单，优化合同模板体系。 2.法律风险管控：参与重大商业项目、合作洽谈，开展法律尽职调查，出具法律意见，识别并提示交易法律风险，设计风险缓释方案。 3.纠纷与案件管理：统筹处理公司民商事纠纷、诉讼、仲裁案件，对接外部律师，制定案件应对策略，跟进案件全流程。 4.合规与制度建设：梳理经营相关法律法规，修订法务管理制度、合规规范；配合内部审计工作，针对审计发现的法律类问题提供专业解决方案。 5.法律咨询支持：响应各部门日常法务咨询，提供常态化法律支撑；组织法律知识、风险案例培训。 6.工商投诉举报处理、劳动、行政处罚相关法律事务协助处理；对接市场监管、农业农村等外部监管沟通事宜。 7.完成审计法务部负责人交办的其他专项法律工作。

1.本科及以上学历，法学相关专业，5 年以上企业法务/律所民商事执业经验，有制造业、消费品、供应链相关法务经验优先。 2.持有法律职业资格证书（A 证），精通《民法典》商事合同、公司法、债权债务、民商事诉讼仲裁相关法律法规。 2.具备丰富的商事合同审核经验，能独立完成合同评审，曾主导搭建标准化合同模板体系优先。 3.具备独立处理民商事诉讼/仲裁案件的能力，曾争取有利裁判结果案例优先。 4.具备重大商务项目的全流程法律支持经验，擅长交易结构风险研判，成功规避重大交易隐患。 5.熟悉私募股权融资交易架构、投资协议、股东协议及尽职调查，有IPO相关经验者优先。 6.熟悉企业内控体系及商业合规搭建，具备相关经验者优先。
