This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Regulatory Affairs & Entity Corporate Governance Manager based in Canada.
This role oversees the governance, regulatory compliance, and ongoing administration of an international portfolio of legal entities. You’ll act as a central coordinator across Finance, HR, Payroll, Legal, Compliance, Operations, and external advisors. Your work will ensure entities remain in good standing while registrations, filings, licenses, and corporate obligations are completed accurately and on time. You’ll manage relationships with legal, accounting, corporate services, payroll, and other regulatory partners across multiple jurisdictions. As the organization expands internationally, you’ll help establish scalable processes, systems, and reporting to support a growing entity footprint. The role is highly operational and requires strong organization, attention to detail, sound judgment, and reliable follow-through. It offers an opportunity to shape international entity management processes within a fast-moving, remote, and globally distributed environment.
Accountabilities
- Manage corporate governance and regulatory compliance requirements across an international portfolio of legal entities.
- Maintain centralized calendars covering corporate, regulatory, tax, employment, and other entity-level obligations, ensuring deadlines are tracked and met.
- Coordinate registrations, renewals, licenses, permits, statutory filings, and other regulatory submissions with local advisors and service providers.
- Maintain accurate corporate records, including registrations, certificates, corporate documentation, director and officer information, and other entity records.
- Monitor changes to local regulatory requirements and coordinate appropriate actions with internal stakeholders and external advisors.
- Identify compliance gaps, upcoming requirements, and potential risks, escalating issues appropriately and ensuring timely resolution.
- Manage relationships with external legal counsel, accountants, corporate service providers, payroll partners, and other vendors supporting international entities.
- Establish clear expectations, service standards, ownership, and escalation processes with external partners, while reviewing service quality and fees and supporting negotiations and renewals.
- Coordinate the establishment of new international entities, working with Legal, Finance, Tax, HR, Payroll, and local advisors throughout the process.
- Manage changes to existing entities, including ownership, directors, registered addresses, business activities, and other corporate information.
- Support entity closures, reorganizations, and other changes to the corporate structure as required.
- Serve as the internal subject matter expert and central coordination point for entity governance and regulatory requirements.
- Educate internal teams on relevant requirements, deadlines, and responsibilities and maintain a centralized system of record.
- Develop standardized documentation, workflows, reporting, and dashboards that improve visibility and reduce compliance risk.
- Identify opportunities to automate and streamline entity governance processes as the international footprint grows.
- 3–5+ years of experience in international entity management, corporate governance, regulatory affairs, legal operations, compliance, or a related field.
- Demonstrated experience managing legal entities across multiple countries and jurisdictions.
- Experience collaborating with external legal, accounting, corporate services, regulatory, payroll, or similar professional partners.
- Strong understanding of corporate governance and entity compliance processes.
- Background in legal, paralegal, corporate services, compliance, or a related professional discipline is preferred.
- Strong project management and organizational skills, with the ability to manage multiple countries, vendors, requirements, and deadlines simultaneously.
- Exceptional attention to detail and a demonstrated ability to maintain accurate corporate records and documentation.
- Ability to interpret regulatory requirements and coordinate appropriate actions with internal and external stakeholders.
- Strong vendor management and negotiation skills, including the ability to assess service levels, costs, and contractual expectations.
- Excellent written and verbal communication skills, with the ability to communicate requirements clearly to diverse stakeholders.
- Comfortable working independently in a fast-moving international environment where processes and priorities evolve continuously.
- Strong judgment and the ability to recognize when matters should be escalated rather than attempting to provide legal advice outside your area of expertise.
- A proactive, structured, and solutions-oriented approach to managing complex operational responsibilities.
- Fully remote position based in Canada.
